Conditions générales d'utilisation

1. Purpose

These Terms of Sale ("ToS") govern the contractual relationship between:

• Lumina Systèmes, registered with the Meaux Trade Register under SIREN number 102 161 841, hereinafter "the Provider"
• Any natural or legal person subscribing to the Maître AO service, hereinafter "the Client"

Maître AO is an online service (SaaS) for assisting with public tender responses, offering analysis of Tender Consultation Documents (DCE) and generation of response documents (technical proposals, administrative documents).

2. Acceptance of the ToS

Subscribing to a plan implies full and complete acceptance of these ToS. The Client acknowledges having read the ToS before subscribing and accepts them without reservation.

The Provider reserves the right to modify the ToS at any time. Modifications will be notified to the Client by email at least 30 days before they take effect.

3. Description of the Service

3.1 Features

Maître AO offers the following features depending on the subscribed plan:

• Automated analysis of DCE documents (consultation rules, CCAP, CCTP, etc.)
• Generation of personalized technical proposals
• Generation of administrative documents (certificates, declarations)
• Company profile management for response personalization
• Export of generated documents in DOCX and PDF formats

3.2 Plans and pricing

Beyond 15 analyses per month, contact us for a custom Enterprise plan.

VAT : Prices are displayed excluding tax. VAT not applicable (Article 293 B of the French General Tax Code). Annual plans benefit from a 10% discount compared to monthly pricing.

3.3 Limitations

The Service uses artificial intelligence to generate documents. The Client acknowledges that:

• Generated documents are proposals to be adapted and verified
• The Provider does not guarantee the success of tender responses
• Final responsibility for submitted documents lies with the Client

3.4 Price revision

The Provider reserves the right to revise its prices in the event of a significant increase in the costs of its technology suppliers (including artificial intelligence services, hosting and infrastructure) on which the Service relies.

In the event of a price revision, the Client will be notified by email at least 30 days before the new prices take effect. The Client may then cancel their subscription free of charge before the effective date of the new prices.

Current annual subscriptions benefit from a price guarantee until their expiry date. The price revision will only apply at the next renewal.

4. Subscription and payment

4.1 Account creation

Access to the Service requires the creation of a user account with a valid email address and a secure password. The Client is responsible for the confidentiality of their credentials.

4.2 Subscription

Subscriptions are taken out for a period of one month, tacitly renewed at each due date. Payment is made in advance, at the beginning of each subscription period.

4.3 Payment methods

Payments are secured by Stripe and accept bank cards (Visa, Mastercard, American Express). The Provider does not store any banking data.

4.4 Invoicing

An invoice is automatically issued with each payment and sent by email. Invoices are also available in the client area.

5. Right of withdrawal

In accordance with Article L.221-28 of the French Consumer Code, the right of withdrawal cannot be exercised for contracts for the supply of digital content not provided on a tangible medium whose performance has begun with the prior express consent of the consumer.

By subscribing to the Service, the Client expressly agrees that performance begins immediately and waives their right of withdrawal.

Exception: If the Client has not used any feature of the Service within 14 days of subscribing, they may request a full refund by contacting contact@maitre-ao.fr.

6. Termination

6.1 Termination by the Client

The Client may cancel their subscription at any time from their client area. Cancellation takes effect at the end of the current subscription period. No pro-rata refund is made for the remaining period.

6.2 Termination by the Provider

The Provider may terminate the subscription in case of:

• Non-payment after formal notice remaining without effect for 15 days
• Violation of these ToS
• Fraudulent or abusive use of the Service

6.3 Consequences of termination

Upon termination, access to the Service is deactivated. The Client may request the export of their data (company profile, generated documents) within 30 days following termination.

7. Intellectual property

7.1 Provider's property

The Service, its interface, algorithms, and documentation are the exclusive property of the Provider. The Client benefits from a personal, non-exclusive, and non-transferable right of use, limited to the duration of the subscription.

7.2 Client's property

The Client remains the owner of documents they upload (DCE) and documents generated by the Service. The Provider claims no rights over this content.

8. Liability

8.1 Provider's obligations

The Provider undertakes to provide the Service with diligence and according to industry standards. This is an obligation of means, not of result.

8.2 Limitations of liability

The Provider shall not be held liable for:

• The content of documents generated by artificial intelligence
• Decisions made by the Client based on the analyses provided
• The success or failure of tender responses
• Temporary interruptions of the Service for maintenance
• Indirect damages (loss of revenue, data, etc.)

In any event, the Provider's liability is limited to the amounts paid by the Client during the last 12 months.

8.3 Client's obligations

The Client undertakes to:

• Provide accurate and up-to-date information
• Verify and adapt generated documents before use
• Use the Service in accordance with its intended purpose
• Not resell or share their access to the Service

9. Availability and maintenance

The Provider endeavors to ensure Service availability 24/7. However, the Service may be temporarily interrupted for maintenance operations.

Planned maintenance will be notified at least 48 hours in advance. Emergency maintenance may be performed without notice in case of security risk to the Service.

10. Personal data

The processing of personal data is governed by our Privacy Policy, accessible on the Website. By using the Service, the Client acknowledges having read this policy.

11. Mediation

In case of dispute, the Client may resort free of charge to a consumer mediator. The Provider adheres to the following mediation service:

12. Applicable law and jurisdiction

These ToS are subject to French law. In case of dispute, and after failure of the mediation process, French courts shall have sole jurisdiction.

For professional Clients, the competent court shall be that of the Provider's registered office.

13. Miscellaneous provisions

If any provision of these ToS is declared null or unenforceable, the other provisions shall remain in force. The Provider's failure to enforce any obligation of the Client shall not be interpreted as a waiver of the right to enforce it subsequently.
